CUSTOMER IDENTIFICATION PROGRAM NOTICE FOR OPENING A NEW ACCOUNT

To help the government fight the funding of terrorism and money laundering activities, Federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account.

What this means for you: When you apply for or open an account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see your driver's license or other identifying documents. Similar identification requirements apply to business entities such as corporations and partnerships.

NOTICE TO ALL CUSTOMERS REGARDING THE UNLAWFUL INTERNET GAMBLING ENFORCEMENT ACT (UIGEA) OF 2006

The Unlawful Internet Gambling Enforcement Act (UIGEA) of 2006 prohibits Natixis, from processing restricted transactions through your business account. Restricted transactions are transactions in which a person accepts credit, funds, instruments or other proceeds from another person in connection with unlawful Internet gambling.

Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of the state of New York, without regard to conflicts of laws provisions. You and Natixis consent to exclusive personal jurisdiction of and venue in the state and federal courts within New York County, New York. YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE UNDER ANY APPLICABLE LAW TO A JURY TRIAL. No action, regardless of form, arising out of or pertaining to any of the Services may be brought by you more than one (1) year after the cause of action has accrued.

Enforceability
If any term or provision of these Terms and Conditions shall be held to be unenforceable, all remaining terms and provisions shall not be impaired and the unenforceable term or provision shall be replaced by such enforceable term or provision as comes closest to the intention underlying such unenforceable term or provision.

BUSINESS CONTINUITY MANAGEMENT

Disclosure Statement
Natixis Corporate & Investment Banking Americas statement below addresses the possibility of a future significant business disruption and how it plans to respond to events of varying scope and severity, states whether we plan to continue business during that scenario and our planned recovery time, and provides general information on our intended response. Our summary discloses the existence of back-up facilities and arrangements. Natixis Corporate & Investment Banking Americas will disclose in writing a summary of its Business Continuity Plan upon request.

Natixis Corporate & Investment Banking Americas - Business Continuity Plan ("BCP") Disclosure Natixis Corporate & Investment Banking Americas is committed to servicing the needs of its clients in the event of a business disruption. The Firm intends to continue business operations and has implemented, and periodically tests, measures, and adjusts its continuity plans reasonably designed to enable the Firm to meeting its existing obligations to its customers under a variety of possible emergency scenarios.

Firm only and Building Disruption
In the event of a business interruption affecting Natixis Corporate & Investment Banking Americas only, the Firm intends to continue business operations at an alternate site the same day as the disruption. The Firm has dedicated facilities at an alternate site to enable key employees and management to continue to conduct business operations and meet its obligations to customers. Business District and City-wide Disruption
If a disruption affects the general geographical business district or New York City where Natixis Corporate & Investment Banking Americas is located, the Firm intends to continue operations at the alternate site the same day as the disruption; provided transportation is available to enable key employees and officers to travel to the alternate site. If transportation is not immediately available, the Firm intends to resume business operations by the next business day. Regional Disruption

Please note that the Firm's ability to continue to conduct business and meet its obligations to customers will be reevaluated by the Crisis Management Team on a daily basis for the duration of the disruption.
